1. About ScanToProve
ScanToProve is a multi-tenant SaaS platform for asset provenance, authentication and living-identity records, operated by ⚠TODO: Legal entity name, e.g. "ScanToProve Limited", a company incorporated in Jersey, Channel Islands under company number ⚠TODO: Jersey company number, with its registered office at ⚠TODO: Registered office address ("ScanToProve", "we", "us").
These Terms of Service (the "Terms") govern your access to and use of the ScanToProve website, applications, dashboards, public scan pages, and any APIs we expose (collectively, the "Platform").
2. Acceptance of these Terms
By creating an account, scanning a tag, calling our APIs, or otherwise using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms, and references to "you" include that organisation.
If you do not agree to these Terms, you must not use the Platform.
3. Definitions
- Account — a user or organisation account on the Platform.
- Content — any data, files, media, asset records, pet profiles, vehicle records, scan events, or other material you submit to the Platform.
- Tags — NFC, RFID, QR, or NTAG 424 hardware tokens linked to records on the Platform.
- Blockchain Anchor — a cryptographic hash of one or more Platform events written to the Polygon public blockchain.
- OPCLS Gateway — the Open Pet Chip Lookup Standard federated lookup service operated as part of the Platform.
- DNA Rails — the B2B sample-authentication API exposed at
/api/v1/sample-auth/*.
4. Accounts and security
You must provide accurate registration information and keep your credentials confidential. You are responsible for activity carried out under your account. You must notify us at legal@scantoprove.com as soon as you become aware of any unauthorised use of your account.
We may suspend or terminate accounts where we reasonably believe they have been compromised, or are being used in breach of these Terms or our Acceptable Use Policy.
5. Use of the Platform
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose during your subscription term.
You must comply with our Acceptable Use Policy, which forms part of these Terms.
6. Subscriptions, fees and tags
Some Platform features, hardware tags, and API tiers are paid services. Pricing, billing cycle, and refund policy for paid services are set out at point of sale or in your order form. Payment processing is performed by our payment provider ⚠TODO: e.g. Paddle.com Inc and subject to their terms.
Hardware tags shipped to you remain ScanToProve property until paid for in full. Once activated, you control the record bound to each tag, subject to these Terms.
7. Intellectual property
We retain all right, title and interest in the Platform, including the source code, designs, trademarks (including ScanToProve, OPCLS, DNA Rails), documentation, and any improvements derived from your feedback.
You retain ownership of your Content. You grant us a worldwide, royalty-free licence to host, process, display, anchor and transmit your Content only as necessary to provide the Platform.
NTAG 424 DNA, MIFARE and related marks are property of NXP Semiconductors. Polygon, MATIC and related marks are property of Polygon Labs UI Inc.
8. White-label and partner deployments
The Platform can be deployed under a partner's brand or domain ("White-label Deployment"). Where a White-label Deployment is in use, the partner is responsible for its own end-user terms and privacy notices and acts as a separate controller for end-user data within that deployment.
ScanToProve continues to operate the underlying infrastructure, NTAG 424 cryptographic verification, OPCLS Gateway and blockchain anchoring on behalf of all deployments.
9. Blockchain anchoring — important notice
The Platform anchors cryptographic hashes of selected events (asset transfers, scan checkpoints, tag tamper events, DNA sample steps) to the Polygon public blockchain. By using the Platform you acknowledge and accept that:
- Polygon is a public, permissionless and immutable blockchain. Once an event hash is anchored, the transaction record is permanent and cannot be deleted, including by ScanToProve.
- We anchor hashes and metadata derived from your data. We do not, in the ordinary course, anchor raw personal data, contact details, photographs, or DNA results to the blockchain.
- Anchored transactions are publicly viewable on PolygonScan and other blockchain explorers. Anyone can confirm that an event was anchored at a given time, but cannot read the underlying data without the original record.
- Network fees, congestion, and protocol upgrades may delay or alter the cost of anchoring. We make no guarantee about Polygon's continued availability, fees, or roadmap.
10. No warranties
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all express or implied warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that the Platform will be uninterrupted, error-free, or that any specific blockchain anchor will be mined within a specific timeframe.
11. Limitation of liability
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.
Subject to the previous paragraph, our aggregate liability arising out of or in connection with these Terms, whether in contract, tort or otherwise, is limited to the greater of (a) the fees paid by you to ScanToProve in the twelve (12) months preceding the event giving rise to liability, or (b) ⚠TODO: cap amount, e.g. £100.
We are not liable for indirect, consequential, incidental, or punitive damages, loss of profits, loss of goodwill, loss of pets or animals, or loss arising from blockchain network conditions outside our control.
12. Your indemnity
You agree to indemnify and hold ScanToProve, its directors, employees, agents and partners harmless from any third-party claim arising from (a) your Content, (b) your breach of these Terms or the Acceptable Use Policy, or (c) your use of the Platform in violation of applicable law.
13. Term and termination
These Terms apply from the moment you first use the Platform and continue until terminated.
You may terminate your account at any time by contacting legal@scantoprove.com or via the in-app settings. We may suspend or terminate your access immediately for breach, non-payment, or where required by law. Sections that by their nature should survive termination (including IP, liability, blockchain notice, governing law) survive termination.
14. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were last changed. Material changes will be notified by email to account holders or via a prominent notice on the Platform at least 14 days before they take effect, where reasonably practicable.
15. Governing law and disputes
These Terms and any dispute arising out of or in connection with them are governed by the laws of Jersey, Channel Islands. The Royal Court of Jersey has exclusive jurisdiction to settle any such dispute, save that we retain the right to bring proceedings in any other competent jurisdiction to protect our intellectual property or recover monies owed.
